INSTRUMENTAL LICENSING & USAGE DISCLAIMER

1.  Publishing Rights & Ownership

All instrumental compositions available for purchase through this webstore are the original creative works of Richard “Piklo” Jenkins and are published exclusively under Plack Panthers Publishing [PP]®. Publishing rights, including but not limited to mechanical rights, synchronization rights, performance rights, and all related intellectual property, are retained solely and exclusively by Richard “Piklo” Jenkins for Plack Panthers Publishing [PP]®. No purchase, license agreement, or transaction of any kind transfers, assigns, or diminishes these publishing rights in whole or in part.

2.  Purchase Does Not Constitute a Grant of Usage Rights

The purchase of any instrumental from this webstore grants the buyer a limited, conditional license to record and perform vocal or artistic content over the purchased instrumental. However, the completion of a purchase transaction does not, in and of itself, guarantee, convey, or activate the right to commercially release, distribute, publicly perform, or otherwise exploit any recording made using the purchased instrumental. Full usage rights are not in effect until the Licensor, Richard “Piklo” Jenkins of Plack Panthers Publishing [PP]®, has reviewed and formally approved the final recording in writing.

3.  Approval of Final Recording

Prior to any commercial release, public distribution, digital upload, or public performance of a recording made using a purchased instrumental, the Licensee (buyer) must submit the final completed recording to Richard “Piklo” Jenkins for review and approval. Approval or rejection of the final recording is at the sole and absolute discretion of the Licensor. The Licensor reserves the right to withhold approval for any reason, including but not limited to content that conflicts with the artistic integrity, brand standards, or values associated with Plack Panthers Publishing [PP]®.

4.  Post-Production Creative Control

Richard “Piklo” Jenkins of Plack Panthers Publishing [PP]® retains post-production creative control over any recording produced using a purchased instrumental. This includes, without limitation, the right to provide direction regarding mixing, mastering, arrangement, lyrical content, and the overall presentation of the final work. Any changes requested by the Licensor during the approval process must be addressed by the Licensee prior to receiving final written authorization to release or distribute the recording.

5.  Prohibited Uses

Without prior written approval from the Licensor, the Licensee is strictly prohibited from: (a) commercially releasing or distributing any recording made using a purchased instrumental; (b) uploading or streaming the recording on any digital platform, including but not limited to Spotify, Apple Music, YouTube, SoundCloud, or TikTok; (c) licensing, sublicensing, transferring, or reselling the instrumental or any derivative recording to any third party; (d) using the instrumental in any audio-visual work, advertisement, broadcast, or synchronization project; or (e) registering any ownership or authorship claim over the instrumental or any element thereof with any performing rights organization or copyright registry.

6.  Breach & Remedies

Any unauthorized use, distribution, release, or exploitation of a purchased instrumental or any derivative work in violation of this disclaimer shall constitute a material breach of the license agreement and an infringement of the intellectual property rights of Richard “Piklo” Jenkins and Plack Panthers Publishing [PP]®. The Licensor reserves all rights and remedies available under applicable copyright law, including the pursuit of injunctive relief, statutory damages, and attorney’s fees.

7.  Governing Terms

This disclaimer constitutes the terms of the limited license granted upon purchase of any instrumental from this webstore and is binding upon completion of any purchase transaction. By completing a purchase, the Licensee acknowledges that they have read, understood, and agreed to all terms set forth herein. These terms supersede any prior oral or written representations and may only be modified by a separate written agreement signed by Richard “Piklo” Jenkins of Plack Panthers Publishing [PP]®.
